New York, NY/Hybrid or Boston, MA/Hybrid $100,000 – $160,000 A well-established law firm is looking for a Corporate Paralegal to support a high-performing legal team focused on transactional matters. This position is ideal for someone with several years of law firm experience who is ready to take on complex corporate projects in a collegial, in-office setting. Key Responsibilities: Support attorneys handling a broad range of corporate matters including entity formation, mergers and acquisitions, financings, and fund structuring. Draft and file legal documents, maintain corporate records and minute books, and assist with ongoing compliance obligations across multiple jurisdictions. Manage due diligence requests, organize transaction documentation, and assist with closings and post-closing deliverables. Prepare and file UCC financing statements and amendments, and coordinate with agencies regarding tax, litigation, or judgment searches. Assist with preparing annual reports, managing state and federal filings, and supporting corporate governance. Provide assistance in securities-related filings, including but not limited to Regulation D, Rule 506 notices, Section 16 filings, and more. Coordinate logistics for meetings, filings, and deal closings while working with attorneys, clients, and external vendors.
